Forms 5472 & 1120 — Don't Overlook the Entity
​
When U.S. real estate involved in a FIRPTA transaction is owned through a foreign-owned U.S. LLC, the FIRPTA filing may not be the only federal reporting requirement.
Certain foreign-owned U.S. entities may also be required to file Form 5472 with a pro forma Form 1120, even when the entity had little or no taxable income.
Failure to timely file a required Form 5472 can result in a $25,000 IRS penalty per failure.
